Virtual Concierge MD Terms of Service

Acceptance of Terms

By accessing or using Virtual Concierge MD's platform, services, or applications ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and Virtual Concierge MD, a California professional medical corporation. These Terms contain a mandatory arbitration provision that affects your rights.

Service Overview

Virtual Concierge MD provides comprehensive telemedicine services including but not limited to:

  1. Primary care consultations
  2. Testosterone Replacement Therapy (TRT)
  3. Medicated weight loss programs
  4. Sexual health and wellness services
  5. Urgent care services (all ages, neonatal to geriatric)
  6. Virtual second opinion consultations
  7. Prescription medication management
  8. Preventive care and wellness programs

Medical Practice and Provider Information

Single Provider Model

All medical services are provided exclusively by Dr. Theressia L. Washington, Board-Certified Physician and Surgeon, licensed in California, Illinois, Indiana, Montana, Nevada, and New York. Dr. Washington brings advanced fellowship training from the American Academy of Family Physicians and the Age Management Medicine Education Foundation, along with specialized certifications and extensive experience acquired through years of medical practice and Empire Medical Training, where she previously served as an instructor.

Scope of Practice

Dr. Washington provides comprehensive medical services within the scope of physician and surgeon licensure, including but not limited to:

  1. Primary and preventive care across all age groups
  2. Hormone optimization and replacement therapy
  3. Medical weight management and obesity medicine
  4. Aesthetic medicine and rejuvenation procedures
  5. Sexual health and wellness services
  6. Virtual second opinion consultations
  7. Age management and longevity medicine

All services are provided per state medical board regulations and within Dr. Washington's extensive training and certifications.

Provider Independence

Dr. Theressia L. Washington operates as an independent medical practitioner. The doctor-patient relationship is established directly between you and Dr. Washington, with Virtual Concierge MD serving as the platform facilitating these services. Dr. Washington maintains ultimate clinical authority over all medical decisions and treatment plans.

License Verification

Dr. Washington maintains active medical licenses in all states where services are provided. License verification is available through each state's medical board website or upon request.

Eligibility and Account Requirements

Age Requirements

  1. Adults (18+ years): May use all services independently
  2. Minors (under 18): May use services only with parent or guardian involvement, supervision, and consent

Specific Age Restrictions:

  1. Children under 3 with fever cannot be treated via telemedicine
  2. Children under 12 with ear pain cannot be treated via telemedicine
  3. UTIs in females under 18 cannot be treated via telemedicine
  4. UTIs in males (all ages) cannot be treated via telemedicine

Geographic Limitations

Services are available to patients physically located in the following states at the time of consultation: California, Illinois, Indiana, Montana, Nevada, and New York. Dr. Washington holds active medical licenses in all six states and may provide telemedicine services to patients in these jurisdictions. Patients must be physically present in one of these states during telehealth consultations to receive services.

Account Responsibility

You are responsible for:

  1. Providing accurate, complete, and current information
  2. Maintaining the confidentiality of your account credentials
  3. All activities occurring under your account
  4. Ensuring you have proper technology and internet connectivity
  5. Compliance with all Terms and applicable laws

Service Descriptions and Limitations

Primary Care Services

Comprehensive primary care services including:

  1. Acute illness management
  2. Chronic disease management
  3. Preventive care
  4. Health screenings and assessments
  5. Medication management
  6. Routine follow-up care

Testosterone Replacement Therapy (TRT)

  1. Eligibility: Only for men with clinically low testosterone (hypogonadal) symptoms, confirmed through clinical diagnosis supported by medical history, symptom assessment, laboratory evaluation, and audio/video consultation.
  2. Required Testing: Two separate testosterone readings plus a comprehensive lab panel including testosterone, free testosterone, SHBG, albumin, LH, estradiol, ALT, AST, HCT, and PSA.
  3. Treatment Options: Testosterone cypionate injections, topical creams, sublingual troches, with optional anastrozole or clomiphene as clinically indicated.
  4. Monitoring: Retesting every 90 days with ongoing physician consultations throughout treatment.

Medicated Weight Loss Programs

Evidence-based weight loss programs utilizing FDA-approved medications, including:

  1. GLP-1 receptor agonists (semaglutide, liraglutide, tirzepatide)
  2. Appetite suppressants (phentermine, phentermine/topiramate combinations)
  3. Compounded medications, when clinically appropriate

Medical Supervision: Regular telemedicine visits with Dr. Washington throughout the program.

Eligibility: Patients must demonstrate medical treatment needs and comply with medical requirements.

Sexual Health and Wellness Services

Comprehensive sexual health services including:

  1. Erectile dysfunction treatment
  2. Hormonal evaluations
  3. Sexual wellness consultations
  4. Reproductive health assessments
  5. Confidential treatment of sensitive conditions

Privacy Protection: Enhanced confidentiality measures by California's Confidentiality of Medical Information Act (CMIA) requirements for sensitive services.

Urgent Care Services

24/7 urgent care services for non-emergency medical conditions across all age groups, subject to telemedicine limitations and state regulations.

Emergency Exclusions: IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, DIAL 911 IMMEDIATELY. THESE SERVICES ARE NOT A SUBSTITUTE FOR EMERGENCY CARE AND CANNOT REPLACE TRADITIONAL IN-PERSON EMERGENCY TREATMENT.

Virtual Second Opinion Services

Comprehensive second opinion consultations including:

  1. Medical record review
  2. Specialist evaluation
  3. Treatment plan assessment
  4. Educational consultations

Service Limitations: Second opinions are educational and do not establish an ongoing treatment relationship. You must discuss results with your treating physician.

Cost: $590 for California residents, not covered by insurance plans.

Prescription Medication Policies

Controlled Substances

Virtual Concierge MD prescribes controlled substances in compliance with current DEA telemedicine regulations, which have been extended through December 31, 2025. We follow all federal and state requirements for telemedicine prescribing of controlled medications.

Prescription Limitations

  1. No guarantee that you will receive a prescription
  2. Prescriptions based on clinical judgment and appropriateness
  3. Refills are limited to 30-day supplies for most medications
  4. Prescription monitoring program (PDMP) checks are required for controlled substances

Medication Delivery

Medications may be delivered through:

  1. Licensed compounding pharmacies
  2. Local pharmacy partnerships
  3. Direct-to-patient shipping is permitted
  4. Costs for local pharmacy services are not included in subscription fees

Billing and Subscription Structure

Service Fees

  1. Introductory Consultation: $149 per visit
  2. TRT Program: $179/month including consultations and monitoring
  3. Weight Loss Program: $299/month, including medications and consultations
  4. Virtual Second Opinion: $590 per consultation
  5. Subscription Plans: Available for ongoing care with monthly billing

Payment Terms

  1. Payment due at time of service or according to subscription schedule
  2. Accepted payment methods include credit cards, debit cards, and FSA/HSA accounts
  3. Late payment fees may apply for overdue accounts

Cancellation and Refunds

  1. You may cancel subscription services at any time with a 30-day written notice
  2. Refunds are available if Dr. Washington determines treatment inappropriate after the initial consultation
  3. Early termination fees may apply for multi-month commitment programs
  4. Health-related cancellations may be accommodated with proper documentation

Insurance and Billing

Virtual Concierge MD does not participate in insurance plans, including Medicare/Medicaid. All services are provided on a direct-pay basis. You are responsible for any insurance reimbursement claims.

Technology Requirements and Platform Use

Technical Requirements

  1. An internet connection capable of supporting video consultations
  2. Device with front-facing camera (smartphone, tablet, or computer)
  3. Updated web browser or mobile application
  4. Secure, private location for consultations

Platform Security

  1. End-to-end encryption for all communications
  2. HIPAA-compliant technology infrastructure
  3. Business associate agreements with all third-party vendors
  4. Regular security audits and updates

Prohibited Uses

You may not:

  1. Reverse engineer or disassemble any software components
  2. Use the platform for any unlawful purposes
  3. Share account credentials with others
  4. Attempt to access unauthorized areas of the platform

Privacy and Data Protection

HIPAA Compliance

All services comply with the Health Insurance Portability and Accountability Act (HIPAA) Privacy and Security Rules. Your protected health information (PHI) is safeguarded according to federal regulations.

California Privacy Laws

We comply with California's Confidentiality of Medical Information Act (CMIA), California Consumer Privacy Act (CCPA), and California Privacy Rights Act (CPRA) as applicable to healthcare services.

GDPR Compliance

For patients subject to the General Data Protection Regulation (GDPR), we provide additional protections including:

  1. Explicit consent for health data processing
  2. Right to access, rectify, and erase personal data
  3. Right to data portability
  4. Notification of data breaches within 72 hours

International Data Transfers

Health data is processed and stored within the United States. Cross-border data transfers comply with applicable privacy shield frameworks and standard contractual clauses.

SMS and Communication Consent

Text Message Services

By providing your phone number, you consent to receive:

  1. Appointment reminders and confirmations
  2. Test result notifications (generic notifications only)
  3. Prescription pickup notifications
  4. Healthcare-related communications

TCPA Compliance

Healthcare-related messages are sent under the healthcare exemption to the Telephone Consumer Protection Act (TCPA). Marketing messages require separate express written consent.

Opt-Out Mechanisms

  1. Reply "STOP" to opt out of text messages at any time
  2. Opt-out requests will be processed within 10 business days
  3. You may still receive critical healthcare communications even after opting out

Message Timing

Text messages are sent between 8 AM and 9 PM in your local time zone. Message and data rates may apply.

Telemedicine Limitations and Risks

Service Limitations

Telemedicine services have inherent limitations, including:

  1. Inability to perform physical examinations
  2. Limitations in diagnostic capabilities
  3. Technology-dependent communication
  4. Potential for technical difficulties

When In-Person Care is Required

You may need in-person medical care for:

  1. Physical examinations requiring touch
  2. Certain diagnostic procedures
  3. Emergency medical situations
  4. Complex medical conditions requiring specialized equipment

Patient Responsibilities

You are responsible for:

  1. Providing accurate medical information
  2. Following treatment recommendations
  3. Seeking emergency care when appropriate
  4. Maintaining proper technology for consultations

Arbitration and Dispute Resolution

Mandatory Arbitration

THIS SECTION CONTAINS A MANDATORY ARBITRATION PROVISION. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION LAWSUITS.

Any dispute arising from or related to these Terms or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Process

  1. Arbitration will be conducted in California
  2. Single arbitrator selected according to AAA rules
  3. Arbitration costs are shared equally between the parties
  4. The arbitrator may award damages and relief available under applicable law
  5. For disputes arising in states other than California, state-specific arbitration requirements may apply

Exceptions to Arbitration

The following disputes are exempt from mandatory arbitration:

  1. Claims for injunctive relief
  2. Claims involving intellectual property
  3. Small claims court matters under jurisdictional limits

Opt-Out Rights

You may opt out of arbitration by sending written notice to Virtual Concierge MD within 30 days of first accepting these Terms. The opt-out notice must include your name, address, and a clear statement of intent to opt out.

Liability and Disclaimers

Medical Disclaimer

Virtual Concierge MD provides telemedicine services that supplement but do not replace traditional in-person medical care. These services are not appropriate for all medical conditions or situations.

Limitation of Liability

Virtual Concierge MD and Dr. Theressia L. Washington's liability is limited to the amount you paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

No Warranties

Services are provided "as is" without warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Risk Acknowledgment

You acknowledge that telemedicine carries inherent risks and limitations. You assume full responsibility for all risks associated with using these services.

Regulatory Compliance

FDA Compliance

FDA regulations require all prescription medications to be prescribed appropriately. Dr. Washington maintains appropriate prescribing privileges and follows all applicable federal guidelines.

California State Regulations

Services comply with California telemedicine regulations, including:

  1. Informed consent requirements
  2. Provider licensing requirements
  3. Patient safety protocols
  4. Medical record maintenance standards

Professional Standards

Dr. Washington maintains active medical licensure, malpractice insurance, and continuing education requirements as mandated by the California Medical Board and other state licensing boards.

Termination

Your Right to Terminate

You may terminate this agreement at any time by:

  1. Canceling your account through the platform
  2. Providing written notice to Virtual Concierge MD
  3. Ceasing to use the services

Our Right to Terminate

We may terminate your access to services for:

  1. Violation of these Terms
  2. Abusive or threatening behavior
  3. Failure to pay fees
  4. Providing false information
  5. Any reason that compromises safety or quality of care

Effect of Termination

Upon termination:

  1. Your access to services will cease
  2. You remain responsible for outstanding fees
  3. Medical records will be retained as required by law
  4. Arbitration provisions survive termination

Modifications to Terms

Virtual Concierge MD reserves the right to modify these Terms at any time. Changes will be effective upon posting to our platform. Continued use of services after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by California state law without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in California's federal or state courts. However, medical services provided to patients in other states are subject to the medical practice laws and regulations of those states.

Severability

If any provision of these Terms is unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Virtual Concierge MD regarding using our services and supersede all prior agreements and understandings.

By using Virtual Concierge MD's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
